I have thin lips. Putting lipstick on me is like putting lipstick on a goat. I don't enjoy having goat lips. I'd like to have full lips, but somehow in the womb, my DNA blueprint read: thin lips, skinny legs, small blue eyes, red hair, Jimmy Durante nose (although I'm almost positive he wasn't my daddy), really small boobs, straight teeth, toe fungus later in life.

I was never happy that I had to wear a training bra until I was in my early 20s (when I progressed to an A cup), and I didn't grow into my nose until I developed jowls. By the time my boobs were full (because they plump up after menopause, but I'm not sure scientists have discovered exactly why), I was a grown-up with a rubber tummy and Joan Crawford shoulders (she wore shoulder pads, mine are just broad bones covered with clown muscles that came out of nowhere after I turned 50).

The bottom line is I could use some work, but I don't like knives, I hate needles, and I don't want someone to inject Jell-O into my lips. I'm not ugly, and I'm not a beauty. I don't have Angelina Jolie's face with those beautiful full lips or that fairly attractive skinny right leg; I don't have Jennifer Aniston's gorgeous legs and arms and flat stomach but I don't want Brad Pitt so I'm good.

If I got a face lift and had liposuction, I would look like someone who had a bad experience in the barn yard. It would go bad, I just know it. I've seen bad plastic surgery and the "after" is much worse than the "before." If it could go wrong, it would go wrong on me. I just have that kind of luck.

I can't even stand it that girls/women in their 20's, 30's and 40's are getting cosmetic plastic surgery and Botox injections these days. There's no reasonable explanation. Really. Yes, I get breast enhancements, but the rest of the body doesn't need to be tweaked, twisted and tampered with. People who get cosmetic plastic surgery are looking for perfection. Nobody's perfect.

If it were legal to run around in public naked, trust me, nobody would.

Post surgery, you may feel better for 20 minutes, but once the novelty wears off, there's an old saying: "Wherever you go, there you are." Your body may seem new, but your "troubles" will follow you no matter where you go. If your boss is a jackass, he won't perk up after you return to the office with enhancements. You'll still want to let the air out of his tires.

Life is still going to be filled with jerks. And jerks hate perfect bodies so they'll mistreat you and find ways to make you feel bad about your beautiful self by messing with your mind.

There's always going to be someone prettier than you are. Always. Who is the most beautiful woman alive? Jennifer Lopez... according to People magazine, and don't they pretty much have a lock on knowing who's beautiful? And who has a chance of dating her? Not your man. One day she'll be old, and there will be another Most Beautiful Woman Alive. And who will have a chance of dating her? Not your man.

"Beauty is in the mind of the beholder,"... another great saying. My husband, Buffoon, doesn't think Angelina Jolie is beautiful. He needs glasses, but so what? I'm not saying he thinks I'm a knock-out, but he did marry me back in the day when I looked fairly attractive. He does find other women very attractive. Believe me, I'm totally insecure about the woman who lives in my neighborhood who is 20 years younger, prettier, flirts with Buff (which makes him feel good about himself even though he has a spare tire around his waist and chest), and she bakes, but if I go under the knife, that won't make her less pretty and won't make me 20 years younger. He'll still know how old I am, and I'll still hate her for looking so good and wearing those short shorts so tight they could strangle a gecko (and I hate her cookies). There are hundreds of nice-looking women that are floating around every neighborhood in this country, and if I succumb to the knife to compete, there will still be women out there who make me look like Marge Simpson.

And if he leaves me one day for someone younger and prettier with the intention of having really good sex, then he'll find out real fast that she's shallow and is probably a screamer.

I could name off a few celebrities who have had bad experiences with plastic surgery, but I don't want to hurt their feelings. They know. It makes me sad for them. If they have a happy family life, then that's what counts. Looks are fleeting no matter who you are, so remember: The important people in your life are those who love you unconditionally.

We all have mirrors. When we look in the mirror, who do we see? We see who we are. How other people see us, is irrelevant.

Senior Kassi Mattera choreographed the closing thesis, titled ?Number _.? Mattera?s cast came on stage dressed in stark white costumes that became more and more colorful as the dancers flung paint at each other and onto a canvas on the floor.

Each dancer immersed his or her hands in paint numerous times throughout the piece, showing how each artist influences the others as the colors mixed on the dancers? costumes whenever they interacted with one another.

Mattera?s piece was inspired by painter Jackson Pollock, and she said she and her cast watched numerous documentaries about him to capture his style.

Senior Anastasia Windeler choreographed a visual response to a paisley pattern, which she found while doing research on Hinduism. The pattern is rooted in Middle Eastern culture, she said, and has been used to ward off?demons, which contributed to the darker edge found in Windeler?s composition, titled ?Boundaries.?

?I found I wanted to use a visual inspiration because it?s something I don?t usually do,? Windeler said. ?I?m usually driven by music. So I found a paisley print, which is strongly based in Middle Eastern culture, and I based it off a paisley print.?

The print was posted in the lobby outside the Black Box for the audience to see, and the distinct lines restricting the movement displayed in the print contributed to the emotional reaction of the piece.

All but one of the dancers wore a black ribbon tied around her. The title of the piece reflects the way some of the pieces in the pattern are trapped inside one another, Windeler said. Near the end of the piece, each dancer removed her ribbon and tied it around the dancer that started with none.

The Elon dance department has also left its mark on each of its students, making them feel at home. Duffy and Mattera said some have become each other?s best friends since starting at Elon, and the entire department acts like family.

?We really are a family?in this department and that?s what means the most to both of us,? Mattera said. ?Our casts were not just casts to us ? they became our family for the semester.?

The choreographers collaborated with their casts in a positive way, Mattera said, and both she and Duffy said they were incredibly grateful for the work their dancers put into the production week after week.

?This wouldn?t have been possible without them,? Mattera said. ?We firmly believe that. Yes, this is our choreography and our work, but it?s just as much theirs as it is ours. We?ve had people faceplant from that paint because it?s slippery, fall off tables. They?re amazing.?

After graduation, Mattera expects to start working on acquiring her teaching licensure for K-12 dance education at Towson University in Baltimore, where she also has a job lined up at Dance Connection. Duffy said she is looking at moving to either Chicago or New York City to pursue work in a professional dancecompany.

Windeler is also majoring in international studies with a minor in business, and said she hopes to teach English abroad, incorporating dance into the lessons. She finds out in April whether she?s been accepted to the Japan Exchange and Teaching program, and has been researching other opportunities abroad.

As the three seniors ready themselves to part ways after four strenuous years together, they reflected on the Elon dance family they will leave behind.

A Fort Myers man was arrested at the Redneck Yacht Club in Florida for driving over a small car several times early Saturday morning.

The Charlotte County Sheriff's Office reported to Redneck Yacht Club around 5:00 a.m. A 16-year-old girl, accompanied by her 37-year-old stepfather, told deputies that she had left her 1994 Toyota Corolla in a field while she went "mudding" with friends.

While she was away, she heard that a car had been run over. When she returned to her car, she realized it had been crushed.

A security guard informed deputies that around 3:00 a.m., he witnessed a large group of spectators near the car urging two large trucks to run it over, shouting that, "the owner doesn't care."

The trucks attempted to run over the car but couldn't and left. A large white van with five-foot wheels then approached the car and the crowd again urged it to run over the car.

A witness led deputies to the driver of the van and he was identified as Norman Nowling, 40, of Fort Myers.

LLC Controlling Member Fiduciary Liabilities ? The Harvard Law ...

Editor?s Note: Chancellor William Chandler is a partner at Wilson Sonsini Goodrich & Rosati, and former Chancellor of the Delaware Court of Chancery. This post is based on a WSGR Alert by Chancellor Chandler and Ryan McLeod. This post is part of the Delaware law series, which is cosponsored by the Forum and Corporation Services Company; links to other posts in the series are available here.

Last month, the Delaware Court of Chancery issued an important post-trial decision that held the majority and managing member of an LLC liable for breaches of fiduciary duty in connection with the member?s management and eventual purchase of the company. The opinion unequivocally shows that the Court of Chancery considers Delaware?s LLC Act to impose default fiduciary obligations analogous to those in the corporate context absent a clear expression otherwise in the LLC agreement.

Background

The case involves Peconic Bay LLC, a limited liability company formed to develop a golf course in Long Island, New York. William Gatz, through Gatz Properties LLC, held a majority stake in Peconic. In 2009, Gatz bought out the minority investors for roughly $50,000 and the assumption of the LLC?s $5.4 million in debt. The court found that from 2004 onward, Gatz had known that Peconic?s sublease with the golf course operator likely would come to an end in 2010, but rather than seek a new operator or market Peconic or its assets, Gatz took no action. When approached by another entity the court deemed a ?credible buyer? about purchasing Peconic or taking over the sublease and operating the golf course, Gatz demurred, refusing to negotiate with the bidder or provide any due diligence materials. Moreover, Gatz withheld information from the minority investors about the nature of the bid and his discussions with the bidder. Armed with the knowledge, however, that the other investors were looking for an exit, Gatz ?attempt[ed] to play ?hardball? with the minority members? and put together an unnecessary ?fire sale? auction at which Gatz was the only bidder and which the court labeled ?a bad faith sham.? The minority investors sued, alleging that Gatz illegally squeezed them out of their investment and breached his fiduciary obligations. Gatz argued that he owed no such fiduciary duties, and that, even if he did, his actions comported with them.

Court of Chancery?s Decision

Chancellor Leo E. Strine began his analysis by strongly rejecting the suggestion that traditional fiduciary duties of loyalty and care do not apply in the context of alternative entities like LLCs. To the contrary, the Chancellor ruled, the LLC Act explicitly states that the rules of equity shall govern unless displaced by statute or contract, and ?[i]t seems obvious that . . . a manager of an LLC would qualify as a fiduciary of that LLC and its members.? Though the court ?give[s] full effect to the parties? contract choice? when the LLC agreement ?entirely supplant[s] th[e] default principles? of fiduciary duty, the elimination of those duties must be clear. The court found no such elimination in the Peconic Bay LLC agreement, and it held that Gatz owed duties as both the managing member and controller of the company.

As for the substantive claims, the court held that Gatz breached his duties in several ways. First, Gatz breached his ?duty to address in good faith known, material risks that threaten the viability of the business? by ?failing for five years to take any steps? to prepare Peconic Bay for the expected loss of the golf course operator. Instead of searching for a replacement, attempting to modify Peconic?s business model, or seeking a buyer for the company, Gatz did nothing, allowing ?the clock on the Sublease to run for the selfish reason of placing Peconic Bay in a position of economic weakness, which he could later exploit for the exclusive financial benefit of himself and his family.? Second, even when approached by a ?credible buyer for the LLC,? Gatz ?did all [he] could to discourage a good bid, frustrating and misleading the interested buyer.? Finally, Gatz used the emergence of the potential buyer to smoke out the minority investors? interest in selling?and the price at which they would sell?to play ?hardball? and squeeze out the minority at the lowest possible price, staging a ?distress sale? auction with limited marketing efforts that was run by an inexperienced auctioneer. Though the court stressed that a holder of a controlling interest ?has no duty to sell his interests,? the fact that a controller does not wish to sell ?does not mean that he had a free license to mismanage Peconic Bay so as to deliver it to himself for an unfair price.? Moreover, the Chancellor ruled, ?[a] fiduciary may not play ?hardball? with those to whom he owes fiduciary duties,? and that if the controller seeks to buy out the minority, ?he ha[s] to do so at a fair price.?

Having concluded that Gatz breached his fiduciary duties and acted in bad faith, the court ruled in favor of the minority investors, awarding damages as if the company had been sold for $6.5 million and shifting half of the minority?s legal fees to Gatz.

Implications

This decision powerfully counsels that the Delaware courts will consider LLC managers as fiduciaries in the same vein as corporate directors absent clear contractual language supplanting those duties. Moreover, it serves as a forceful reminder that holders of a controlling interest must take special care when considering a buyout of their minority investors, because the courts will painstakingly scrutinize the course of conduct leading to the sale in order to determine whether the price paid was entirely fair.

If that?s the case, you?re going to have to permeate their market, because unless you get exceptionally lucky and catch a consumer on a good day, you?ll probably have to take somebody else?s business, which means you better have a powerful good response for number 3 ? Why you?re company is unique and more importantly, offers more worth to your client!

Well, that was quicker than I expected. Here we are, mostly through February -- Mobile Nations Fitness Month -- and what started as two weeks of solid daily walking as slipped back into 16-hour days at a desk.

Why am I not surprised.

I know I'm not alone there -- we've all started some sort of exercise regimen only to let life, work, school -- the old routine -- sneak back in. And you know what? All the gadgets in the world can't keep it from happening. (Or, in my case, all the gadgets in the world are the direct cause.) That one's totally on me.

But, wait. No it's not. Frankly, I'm very disappointed in all of you. Two weeks away, and not one "What happened to Phil?!?!?!" thread in our our Health and Fitness forums. Fine. I get it. I'm on my own here. Thanks for nothing.

So we've got a week to go in Mobile Nations Fitness Month. And this ain't gonna be easy -- I head to Mobile World Congress on Friday. Here's what we're going to do:

• I'm strapping the Fitbit back on. Let's see how far one walks at MWC, shall we? And perhaps there will be a contest around it.

Speaking Fundamental: Speak Slower

This is an important public speaking fundamental yet I was reluctant to bring it to your attention. Why? Because it is so fundamental. But I've noticed that many of us need to be reminded of the fundamentals from time to time.

I watched an experienced and capable speaker at a conference. I stopped listening early in his presentation because it was too difficult to keep up with his rapid patter. I tuned out and missed most of his speech.

Naturally I was impressed that he asked me for constructive feedback after his presentation. He didn't say, "How was I?" Instead he asked, "How might I improve?" That's the sign of a concerned professional.

His biggest error was that he spoke too quickly. I suggested that he slow down - a lot. That would make it easier for the translator to translate his words (we were speaking at a foreign conference). It would also allow the audience to hear and digest his words while thinking about the ideas, and it would help listeners to identify the key learning points.
The next day he spoke much slower. His presentation was better received. He was fabulous. All it took was for him to speak slower.

I read about a trial lawyer who suffered a massive stroke. He had to totally relearn how to speak. His impossible goal was to return to the court room. He endured and he returned to presenting in the court room. One of his lessons was that he was more persuasive by speaking more slowly.

In the movie, The King's Speech, you might have noticed that when King George VI delivers his first radio speech he spoke slowly with dramatic pauses - because he had to. Yet, those two techniques made his speech more dramatic and thus more effective.

When you speak in public - speak slower than you normally would. You will sound more confident. You will be better heard. You will be better understood.
